John Martin, who joined Wolseley in 2010 as chief financial officer (CFO), will take as chief executive when Ian Meakins retires in August.
Ian Meakins has been CEO since July 2009 and is credited by the board with having reshaped the group into a focused plumbing and heating and building products distribution business.
Simon Nicholls, the CFO of defence contractor Cobham, is joining Wolseley to succeed Mr Martin as CFO. Earlier in his career he spent nine years at Hanson, rising to CFO for Hanson North America in 2003.
